These Terms of Service govern your use of all Spendix products and services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using any Spendix Technology Limited service — including our website (spendix.co.uk), mobile application, Paymaster service, SpendixHub, Marketplace, or any related platform — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms apply to all users, including visitors, registered customers, and business account holders. Spendix Technology Limited ("Spendix", "we", "us") reserves the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms.

2. Eligibility

To use Spendix services, you must: • Be at least 18 years of age • Be a resident of the United Kingdom or an eligible jurisdiction • Have the legal capacity to enter into a binding contract • Not be subject to any sanctions, embargoes, or financial crime restrictions • Provide accurate, complete, and up-to-date information during registration We reserve the right to refuse service, close accounts, or restrict access at our sole discretion, including where we suspect fraud, money laundering, or breach of these Terms.

3. Account Registration & Security

When you create a Spendix account, you agree to: • Provide accurate and truthful information • Complete our Know Your Customer (KYC) verification process • Keep your login credentials confidential and not share them with any third party • Notify us immediately at [email protected] if you suspect unauthorised access to your account • Accept responsibility for all activities conducted through your account We may suspend or terminate your account if we reasonably believe your credentials have been compromised or if you breach these Terms.

4. Our Services

Spendix provides the following services, subject to availability and eligibility: Remittance & Currency Exchange: Send GBP to supported countries (Nigeria, Ghana, Zambia, Zimbabwe, Pakistan, India) at real exchange rates. Exchange rates are indicative and may vary at the time of execution. SpendixHub: A GBP e-money wallet allowing you to hold, send, receive, and convert funds. SpendixHub is not a bank account and funds are not covered by the Financial Services Compensation Scheme (FSCS). Paymaster Service: Managed disbursement and payment services for businesses and organisations. Marketplace: A peer-to-peer platform for buying, selling, and giving away items within the UK diaspora community. Spendix acts as an escrow agent for marketplace transactions. Student Services: Information, guidance, and referral services for international students seeking UK university placement and financial support. All services are subject to applicable limits, fees, and regulatory requirements.

5. Fees & Exchange Rates

Spendix charges fees for certain services. Current fees are displayed at the point of transaction and on our website. We reserve the right to change our fee structure with reasonable notice. Exchange rates displayed are indicative. The rate applied to your transaction will be confirmed at the time of execution. Rates may differ from mid-market rates due to our margin. You are responsible for any taxes, duties, or charges imposed by your home country or the recipient's country in connection with transactions.

6. Prohibited Uses

You must not use Spendix services for: • Any unlawful purpose, including money laundering, terrorist financing, or fraud • Sending funds to sanctioned individuals, entities, or jurisdictions • Circumventing currency controls or tax obligations • Purchasing illegal goods or services • Harassing, threatening, or abusing other users on the Marketplace • Misrepresenting your identity or providing false information • Any activity that violates applicable UK or international law Violation of these prohibitions may result in immediate account suspension, reporting to relevant authorities, and legal action.

7. Marketplace Terms

The Spendix Marketplace is a platform for UK diaspora community members to buy, sell, and give away items. The following additional terms apply: Escrow: For paid transactions, Spendix holds payment in escrow until the buyer confirms receipt of the item. Funds are released to the seller upon buyer confirmation or after the dispute resolution period. KYC Requirement: All marketplace sellers must complete KYC verification before listing items for sale. Prohibited Items: You may not list illegal items, counterfeit goods, weapons, controlled substances, or any items prohibited by UK law. Disputes: Buyers and sellers may raise disputes within 7 days of the expected delivery date. Spendix's decision in dispute resolution is final. Spendix is not responsible for the quality, safety, or legality of items listed on the Marketplace.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Spendix shall not be liable for: • Indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Losses arising from unauthorised access to your account where you have failed to maintain security • Delays or failures caused by circumstances beyond our reasonable control (force majeure) • Actions or omissions of third-party banking and payment partners Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Spendix in the 12 months preceding the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

9. Termination

You may close your Spendix account at any time by contacting us at [email protected]. Any pending transactions will be completed or cancelled in accordance with our standard procedures. We may suspend or terminate your account immediately if: • You breach these Terms • We are required to do so by law or regulatory authority • We reasonably suspect fraud, money laundering, or other financial crime • Your account has been inactive for an extended period Upon termination, we will return any remaining e-money balance to you, subject to applicable fees and regulatory requirements.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating legal proceedings, we encourage you to contact us at [email protected] to resolve disputes informally. We aim to respond to all complaints within 5 business days. If you are not satisfied with our response, you may refer your complaint to the Financial Ombudsman Service (FOS) at www.financial-ombudsman.org.uk.
